Corporate, M&A & Startups

Transactions that survive scrutiny — years after signing.

Overview

Our corporate practice advises founders, promoter families, listed groups and inbound investors on the full commercial life of a business — from the first incorporation certificate to a controlled exit. We work as transaction counsel, not as document typists: the deal structure, the tax consequence, the regulatory filing and the litigation risk are considered together before a single clause is drafted.

Chennai's commercial landscape has its own rhythm — family-held manufacturing groups, IT and GCC operations, textile and auto-component supply chains, and a fast-maturing startup base. We understand how these businesses actually hold assets, share control and settle disagreements, and we draft accordingly rather than importing a template from another market.

Every engagement begins with a written scope, a named partner-in-charge and a realistic closing calendar. You are told what can be achieved, what cannot, and what it will cost before work begins.

Questions

Frequently asked

With clean corporate records, a seed or pre-Series A round closes in three to six weeks from term sheet. Diligence gaps — missing minutes, unregistered leases, unpaid statutory dues — are the usual cause of delay, which is why we run a readiness check before the term sheet is signed.

Not in the same transaction. We take one side, disclose any prior relationship, and decline the engagement where a conflict cannot be cleanly managed.

Yes. Many clients retain us on a monthly counsel arrangement covering contract review, notices, compliance calendars and unlimited advisory calls at a fixed fee.
